This Affiliation Agreement (the "Agreement") is a legal agreement between Cubotimize Soluções Em Inteligência Tecnológica LTDA, a limited liability company, enrolled under CNPJ No. 25.002.129/0001-60, headquartered at Av. Rio Branco, 26, Centro, Rio de Janeiro - RJ, Brasil (A "Cubotimize"), and the legal entity that adheres to this Agreement by registering in the Affiliate Program (the "Affiliate"), governing the Affiliate's participation in the affiliate program of CuboPlus, (a brand owned by Cubotimize), a SaaS platform offering features such as a link shortener, QR codes, bio pages, and click analytics for the generated links (the "Affiliate Program").

By registering in the Affiliate Program, the Affiliate declares that it has read, understood, and accepted all terms and conditions of this Agreement, as well as the Terms of Use (available at https://cubo.plus/page/termos-de-uso) and the Privacy Policy and LGPD (available at https://cubo.plus/page/politica-de-privacidade-e-lgpd) of CuboPlus, which are an integral part of this Agreement.

1. Object

1.1. The object of this Agreement is to regulate the Affiliate's participation in the Program, which consists of recommending the CuboPlus platform to new users, with the possibility of forming an affiliate network.

1.2. Adherence and Access to the Platform: To become an Affiliate, a monthly investment in one of the paid subscription plans available at https://cubo.plus/pricing is required. This investment guarantees access to the platform for the Affiliate's own use and access to the Affiliate link at https://cubo.plus/user/affiliate.

Sole Paragraph: The Affiliate link uses the username as part of the link to indicate to potential subscribers, example: https://cubo.plus/?ref=nomeusuario. The final reference of the link can be changed at https://cubo.plus/user/settings using the value in the Username field; however, it is recommended to change it before starting to share the link. It is not recommended to change it afterward to avoid losing the reference to the already shared link, which will result in the loss of commission for referrals that may come through the link with the previous (invalid) reference, with the Affiliate being solely responsible for this change.

1.2.1. The monthly fee amount may be adjusted annually by the IPCA.

1.2.2. This investment is exclusively for access to the platform and will not be subject to commission.

1.3. Network Activity: Every active Affiliate automatically participates in the network structure when making referrals. The formation of the network is a consequence of referring new users, eliminating the need for a formal invitation to the team.

1.3.1. Network Structure: The Affiliate will have the possibility to build their own network of up to two levels (Level 1 – Direct Referral and Level 2 – Network Referral). Each new Affiliate who registers through a referral will have the same rights and duties described in this Agreement, without the need for Cubotimize's approval for inclusion.

1.3.2. Requirement for Network Commission: To become eligible to receive commissions from their network (Level 2), the Affiliate must have at least 1 (one) active paying direct referral, originating from their direct referral (Level 1), who remains active (paying).

2. Good Practices and Affiliate Conduct

2.1. Transparency: The Affiliate undertakes to be honest and transparent about the platform's resources and functionalities when making a referral, not creating false expectations for the new subscriber.

2.2. Official Communication: To receive updates, news, and support materials, it is strongly recommended that the Affiliate subscribes to and remains on CuboPlus's official channels, such as the WhatsApp broadcast list. The email registered by the Affiliate will be the primary channel for formal communications and official notifications.

2.3. Network Ethics: The Affiliate is expressly prohibited from creating or participating in maneuvers, schemes, or parallel agreements with members of their network that are outside the scope or violate the conditions of this Agreement.

2.4. Reporting Channel: As part of its commitment to ethics, Cubotimize provides a Reporting Channel for reporting any conduct that violates this Agreement or the Program's principles of integrity. 2.5. Prohibition of Conflict of Interest and Poaching: The Affiliate is expressly prohibited from practicing poaching, co-optation, or any form of recruitment of referrals or other affiliates who are already part of the base or network of another Affiliate in the Program. To ensure the focus on selling services to end-users and the Program's sustainability, this prohibition includes, but is not limited to:

a) Encouraging or offering benefits for an existing referral to cancel their subscription and reactivate it through their Affiliate link.

b) Contacting, directly or indirectly, members of another Affiliate's network for the purpose of persuading them to change their line of affiliation.

c) Recruiting an active referral, whose subscription already generates commission for another Affiliate, to become a new member of their own affiliate network.

d) Registering as their own a referral that was knowingly originated by the effort of another Affiliate.

2.5.1. The Affiliate undertakes to respect the integrity of the network of other participants, refraining from any act that constitutes unfair competition or that aims to cannibalize the referral base or the network of others.

3. Management of Opportunities and Referrals

3.1. The commission will be due only if the subscription originates from the Affiliate Link.

3.2. The Affiliate may preferably register each potential Referral as an opportunity in the channels recommended by Cubotimize, with this registration being mandatory for customized plans for the due negotiations and presentations by Cubotimize to the referral.

3.2.1. Manual Referral Attribution

On an exceptional basis, if a subscription is completed without using the Affiliate Link, the request for manual commission attribution may be made under the following conditions:

a) The new subscriber must, within a non-extendable period of 7 (seven) calendar days after the subscription date, notify Cubotimize via the email cuboplus@cubotimize.com, mandatorily including the requesting Affiliate in the copy (Cc) field.

b) The request must contain: (i) the username and email used in CuboPlus by the new subscriber; and (ii) information that they were referred, to show the connection with the Affiliate.

c) To prove the causal link between the referral and the subscription, the Affiliate must send, via Cubotimize channels, material and unequivocal proof, dated and timed prior to the subscription. Legible screenshots of messaging applications or emails, where the Affiliate's recommendation is explicit, will be accepted, by way of example.

d) The analysis and validation of the proof are the exclusive competence of Cubotimize, which reserves the right to deny requests that do not fully meet the requirements described herein or that present evidence considered insufficient or inconclusive.

4. Commissions and Payments

4.1. The Affiliate's commission will be calculated on the invoiced and effectively paid amount in the previous month by the referred subscriber, excluding any chargebacks. The structure is as follows:

a) Direct Referral (Level 1): 20% (twenty percent) on the subscription value.

b) Network Referral (Level 2): 5% (five percent) on the subscription value.

4.1.1. Mixed Commission Rule: If a direct referral (Level 1) also makes a referral that results in a network commission (Level 2), the commission system will calculate two possibilities and pay the Affiliate the higher value between them: (i) The Direct Referral commission amount (20% on the paid amount, Level 1); OR; (ii) The summed value of the Network commissions (5% on the activations of the direct referrals of Level 1 – Level 2). The Affiliate will never simultaneously receive the 20% from the direct referral and the 5% from the network referral originating from the same subscriber. The system will always guarantee the higher value between the two calculated possibilities.

4.2. Statement for Invoicing: By the 8th (seven) of each month, Cubotimize will make the commission statement available through its official communication channels with affiliates. This statement will detail the commission amounts related to the subscriptions paid by referrals in the previous month, added to any accumulated balances from previous periods. The objective is to allow the Affiliate to verify if the total balance has reached the minimum amount of R$ 100.00 (one hundred reais) for invoicing. If the amount is lower, the balance will be automatically accumulated for the next month's closing.

4.3. Payment Conditions: To ensure receipt of the commission, the Affiliate who has reached the minimum invoicing balance must request the withdrawal. After a brief review and acceptance by Cubotimize, they will be requested to send the Invoice (Nota Fiscal), along with a valid bank account of the same ownership (CNPJ), to be sent to the email financeiro+afiliado@cubotimize.com by the 12th of each month. Once this condition is met, the payment will be made by the 15th of the same month.

4.3.1. For Legal Entity (PJ) Affiliates of size ME, EPP or larger, payment is conditioned on sending the corresponding Service Invoice (Nota Fiscal de Serviços) under CNAE 7319-0/02 (Sales promotion) or similar, with the Affiliate being solely responsible for the collection and payment of all taxes and levies incident on the amounts received.

4.3.2. For Legal Entity (PJ) Affiliates of size MEI, payment is conditioned on sending the corresponding Service Invoice (Nota Fiscal de Serviços) under CNAE 7319-0/02 (Sales promotion), with the Affiliate being solely responsible for the collection and payment of all taxes and levies incident on the amounts received.

5. Nature of the Relationship and Responsibilities

5.1. Lack of Bond: This Agreement does not establish any type of employment relationship governed by the CLT, partnership, agency, or commercial representation agreement (under the terms of Law No. 4,886/65) between the Affiliate and Cubotimize.

5.2. Affiliate Autonomy: The Affiliate acts as an independent promoter, without any type of subordination, habituality, or personality. Its remuneration is variable, depending solely on the success of its referrals. To ensure brand consistency and the correct promotion of the platform, the Affiliate undertakes to follow the brand guidelines of Cubotimize and CuboPlus, with the use of official marketing materials provided being recommended. The Affiliate declares to be aware of and agrees to fully follow the brand use rules, which may be detailed in a Brand Manual for Affiliates, to be provided by Cubotimize.

5.3. Civil Liability and Costs: The Affiliate is solely and exclusively responsible for all costs and expenses incurred in its referral activity. Additionally, the Affiliate assumes full and exclusive responsibility for its actions, holding Cubotimize harmless from any obligation to respond to judicial, administrative, or any other type of proceedings arising from personal error, misconduct, or misleading advertising of its own authorship, with no liability falling to Cubotimize.

6. Legal Compliance with Network Marketing

6.1. Cubotimize declares that this Program is in compliance with Brazilian legislation, differentiating itself from financial pyramid schemes (a crime under Law No. 1,521/51). The legality of the Program is based on the generation of commission exclusively from the recommendation and sale of a real service. Remuneration is tied solely to the sale of subscriptions, and not to the mere recruitment of new members. The prohibitions on internal recruitment and poaching, described in clause 2.5, reinforce the legitimate nature of the program, whose focus is the expansion of the base of referrals who become subscribers.

7. Term and Termination

7.1. This Agreement has an indefinite term and may be terminated by either party upon 30 (thirty) days' prior notice.

7.2. Cubotimize may terminate the Agreement unilaterally and immediately, without the need for prior notice, in the following cases:

a) Misconduct, acts of corruption or money laundering, breach of any clause of this Agreement, or the practice of acts that harm the image of Cubotimize and CuboPlus, including, but not limited to: practicing spam, misleading advertising, unauthorized use of the brand, copyright infringement, or harassment of referrals, other affiliates, and even active clients of the CuboPlus platform.

b) Inactivity, characterized by the absence of recurring commission for a period exceeding 1 (one) year, that is, not having at least 1 (one) active paying referral originating from their direct referral (Level 1).

c) Abandonment, configured by the lack of response to CuboPlus contacts, by any means of communication, for more than 60 (sixty) days, with the affiliate being notified by email of the imminent termination.

d) Violation of the prohibition of conflict of interest and poaching clause, as described in clause 2.5.

7.3. Effects of Termination: Upon termination of this Agreement, for any reason, the Affiliate's right to receive any future commissions, including recurring ones originating from prior subscriptions, will immediately cease, with no payment or indemnity being due, of any kind. The network of referrals and affiliates previously linked to the terminated Affiliate will revert entirely to Cubotimize, which may manage it at its sole discretion, without this generating any right or expectation of right for the Affiliate.

7.4. The Affiliate acknowledges that, in the event of termination, they will not be entitled to any type of reimbursement or compensation for expenses incurred in prospecting for referrals or in forming their network.

8. General Provisions

8.1. This Agreement enters into force automatically from the moment the User becomes an Affiliate, being considered accepted by the simple act of participating in the program. Acceptance of this Agreement revokes and supersedes, for all legal purposes, any other agreement, verbal or written, previously entered into between the Parties with the same object.

8.2. The Affiliate may not assign or transfer, in whole or in part, its rights and obligations arising from this Agreement, without the prior written consent of Cubotimize. It is equally prohibited to use this contract as a guarantee in negotiations with third parties or to link it to any other contracts.

8.3. This Agreement is governed by the laws of the Federative Republic of Brazil, and the jurisdiction of the District of Rio de Janeiro, RJ, is elected to settle any disputes arising from this contract, with express waiver of any other, however privileged it may be.
